Crucial Notice Regarding Digital Collectibles & Franchise Rights

1. No Real-World Restaurant Ownership: Pizza Shop NFT is a decentralized software application, digital collectible art collection, and smart contract rewards protocol deployed on the Base Sepolia testnet. Holding, minting, or trading a Pizza Shop NFT does not grant or imply any equity, partnership, legal franchise ownership, intellectual property rights, commercial licenses, or entitlement to revenue or profits of any real-world commercial restaurant, food establishment, or physical enterprise.

2. Testnet Tokens & Zero Monetary Value: $PIZZA tokens and testnet ETH used within this protocol operate strictly on the Base Sepolia testnet (Chain ID 84532). They are intended exclusively for testing, gaming, educational, and entertainment purposes and have zero intrinsic economic value. They cannot be exchanged for fiat currency or guaranteed real-world goods.

3. Not Financial Advice or Securities: Nothing on this website, in the smart contracts, or in associated protocol documentation constitutes financial, investment, legal, or tax advice. The NFTs and $PIZZA tokens are not securities, investment contracts, or derivatives.

1Agreement to Terms

By accessing or using https://pizza-shop-nft.vercel.app (the "Site"), interacting with our smart contracts, or connecting an Ethereum Web3 wallet, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to all terms, do not access or interact with the Protocol.

2Eligibility

To use Pizza Shop, you represent and warrant that:

  • You are of legal age in your jurisdiction to form a binding agreement (at least 18 years old or the age of majority).
  • You are not a resident or citizen of any jurisdiction subject to United States, United Nations, or European Union sanctions or trade embargoes.
  • Your interaction with smart contracts and digital assets complies with all laws and regulations applicable to you.

3Protocol Architecture & Invariants

The Pizza Shop protocol operates on immutable OpenZeppelin-audited smart contracts deployed on Base Sepolia. By participating, you acknowledge and agree to the following programmatic invariants:

Verifiable On-Chain Rarity:Ranks are assigned probabilistically upon minting via on-chain pseudo-random sampling. Multipliers are permanently fixed (Driver: 1x, Cook: 2x, Manager: 3x, Store Owner: 4x).
Strict Non-Redistribution:Unminted NFTs do not generate rewards. Unclaimed rewards for unminted supply remain sealed in escrow and will never be redistributed to dilute or inflate stated token yield rates.
365-Day Emission Window:Emissions accrue continuously block-by-block for 365 days from protocol launch. Accruals conclude at the end of Day 365, while accrued rewards remain permanently claimable.
Rewards Follow The Token:Unless claimed prior to a secondary sale or transfer, accrued reward rights remain attached to the NFT and can be claimed by whichever address holds the token on-chain.

4User Responsibilities & Wallet Security

You are exclusively responsible for maintaining the confidentiality and security of your credentials:

  • Non-Custodial Nature: Pizza Shop is non-custodial. We do not store, cannot access, and cannot recover private keys, secret recovery phrases, or unauthorized password resets.
  • Irreversibility of Transactions: All blockchain transactions executed on Base Sepolia are irreversible once finalized by validators. We cannot reverse, cancel, or refund any transaction.
  • Gas Fees: Transactions require Base Sepolia testnet ETH to pay network gas fees. We provide a complimentary testnet faucet subject to rate limits and reserves.

5Prohibited Activities

You agree not to engage in any of the following unauthorized activities:

  • Interfering with, disrupting, or launching denial-of-service (DDoS) attacks against the Site or RPC endpoints.
  • Exploiting software vulnerabilities, smart contract flaws, or reentrancy vectors for malicious extraction.
  • Automating high-frequency sybil bot scripts to drain testnet gas faucets or manipulate public activity feeds.
  • Using the Site or digital tokens for money laundering, terrorism financing, or violations of applicable law.

6Disclaimer of Warranties ("AS-IS")

THE PROTOCOL, SITE, SMART CONTRACTS, AND ALL DIGITAL ASSETS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR FREEDOM FROM PROGRAMMING BUGS, NETWORK CONGESTION, OR INTERRUPTIONS.

7Limitation of Liability

TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, IN NO EVENT SHALL PIZZA SHOP, ITS DEVELOPERS, CONTRIBUTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR ASSETS RESULTING FROM YOUR USE OF OR INABILITY TO USE THE PROTOCOL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8Governing Law & Amendments

We reserve the right to revise or modify these Terms at any time. Any changes will become effective immediately upon posting to this page with an updated "Last Updated" timestamp. Your continued use of the Protocol following any update constitutes your binding acceptance.
